4. Client Responsibilities
Clients agree to:

- Pay invoices according to the agreed schedule.
Project delays caused by the client may affect delivery timelines.
5. Payments
Payment terms are specified in each proposal or invoice.
Unless otherwise agreed:
- Deposits may be required before work begins.
- Remaining balances are due upon project completion or according to milestone payments.
- Late payments may result in delayed delivery or suspension of services.
All fees are non-refundable once work has commenced, except where required by applicable law.
6. Revisions
Each project includes the number of revisions specified in the proposal.
Additional revisions beyond the agreed scope may incur additional charges.
7. Intellectual Property
Upon full payment:
- The client receives ownership of the final approved website design and custom-developed code unless otherwise stated.
- OSP Web Design retains ownership of pre-existing tools, frameworks, reusable code libraries, templates, and development methodologies.
Third-party software, plugins, fonts, themes, and licenses remain subject to their own licensing terms.
8. Third-Party Services
Projects may incorporate services from third parties including:
- Web hosting providers
- Domain registrars
- Payment gateways
- Analytics platforms
- Marketing tools
- WordPress plugins
- APIs
We are not responsible for outages, pricing changes, policy changes, or service interruptions caused by third-party providers.
9. Website Maintenance
Unless covered by a maintenance agreement, ongoing updates, backups, security monitoring, and software updates are not included after project completion.
Maintenance services are provided under separate agreements.
10. SEO Disclaimer
We apply industry best practices for search engine optimization.
However, we do not guarantee:
- Specific rankings
- Search engine placement
- Traffic increases
- Revenue growth
Search engine algorithms are controlled by third parties and may change without notice.
11. Portfolio Rights
Unless otherwise agreed in writing, OSP Web Design may display completed projects in its portfolio, marketing materials, and social media.
Clients may request confidentiality before the project begins.
12. Limitation of Liability
To the maximum extent permitted by law, OSP Web Design shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from:
- Website downtime
- Data loss
- Business interruption
- Loss of profits
- Cybersecurity incidents
- Third-party software failures
Our total liability shall not exceed the amount paid by the client for the applicable project.
13. Warranties
We warrant that services will be performed using reasonable professional skill and care.
Except as expressly stated, all services are provided “as is” without warranties of any kind.
14. Termination
Either party may terminate a project in accordance with the project agreement.
Clients remain responsible for payment for work completed prior to termination.
15. Governing Law
These Terms shall be governed by the laws applicable in the jurisdiction where OSP Web Design operates, unless otherwise required by applicable law.

We reserve the right to modify these Terms at any time.
